These Terms of Service ("Terms") govern your access to and use of the Platform, which includes our services made available to you, including but not limited to:

• K-beauty product and brand discovery
• Detailed product information
• Connecting buyers and suppliers for business transactions

By using Hwahae, you agree to be bound by these Terms.

1. Definition of Users

Hwahae Accelerate serves two primary user groups:

• Buyers: Businesses seeking to discover and purchase K-beauty products from verified suppliers.
• Suppliers: Companies that manufacture or distribute K-beauty products and list their products on the Platform to be discovered by buyers.

2. Account Registration & Responsibilities

A. Registration To access the Platform, you must register for an account as either a Buyer or Supplier. By registering, you agree to:

1. Provide accurate, current, and complete information about your business.
2. Maintain and update your profile to ensure accuracy.
3. Keep your login credentials confidential and not share them with others.
4. Notify us immediately of any unauthorized use of your account.

B. User Responsibilities You are responsible for all activities that occur under your account, including any transactions initiated through the Platform. Hwahae is not responsible for any unauthorized access or activity resulting from compromised account security.

3. Platform Content & Intellectual Property

A. Ownership of Content: All text, graphics, trademarks, product descriptions, and other content provided on the Platform ("Content") belong to Hwahae. Users may not copy, distribute, or modify any part of the Platform without explicit permission.

B. User-Generated Content: Users may upload product details, images, and marketing materials ("User Content"). By submitting User Content, you grant Hwahae a worldwide, non-exclusive, royalty-free license to display, use, and promote your content on the Platform.

C. Trademark Use: Suppliers grant Hwahae the right to use brand names, logos, and images for the purpose of showcasing and marketing their products to buyers.

4. Platform Usage Rules

To maintain a trustworthy environment, users must adhere to the following rules:

• No Misrepresentation: Do not provide false or misleading product or company information.
• No Unauthorized Transactions: Suppliers and Buyers agree to conduct all transactions within the Platform when an introduction has been made via Hwahae Accelerate.
• No Infringement: Do not post copyrighted or trademarked content that you do not own.
• No Malicious Activities: Users must not engage in fraud, hacking, or abuse of the Platform.

Hwahae reserves the right to remove any content or suspend accounts that violate these rules.

5. Limitation of Liability

Hwahae provides the Platform on an "AS IS" and "AS AVAILABLE" basis. Hwahae does not take responsibility for third-party content, actions, or transactions facilitated through the Platform, and users acknowledge that any interactions with third parties are at their own risk. To the maximum extent permitted by law:

• Hwahae does not guarantee successful transactions, product availability, or supplier performance.
• Hwahae is not liable for any losses, damages, or disputes arising from transactions made through the Platform.
• Users agree to indemnify Hwahae against claims, damages, liabilities, and expenses (including legal fees) arising from their use of the Platform, including but not limited to claims related to misrepresentation, infringement of third-party rights, and violations of applicable laws.

6. Dispute Resolution & Governing Law

A. Dispute Resolution: Users agree to resolve any disputes through negotiation first. If unresolved, disputes will be settled through binding arbitration in South Korea.

B. Governing Law: These Terms are governed by the laws of South Korea. Any legal action must be filed in a court located in Seoul, South Korea.

7. Changes to Terms

Hwahae reserves the right to modify these Terms at any time. Users will be notified of significant changes via email or Platform notifications in advance before the changes take effect. Continued use of the Platform constitutes acceptance of updated Terms.
